Terms of Service

1. Introduction & Acceptance

Welcome to GJEF Specials. These Terms of Service ("Terms") govern your enterprise access to and use of our Agentic AI software, including Cortex v2.0, Neural Processing Terminals, and associated anomaly detection APIs (collectively, the "Services").

By executing an Enterprise Order Form, clicking "I Accept" in our deployment environments, or utilizing our APIs to process your corporate telemetry, you agree to be bound by these Terms on behalf of your organization.

2. Definitions of Service

To ensure clarity regarding our highly specialized AI architecture, the following definitions apply:

• "Agentic AI" refers to GJEF Specials' proprietary autonomous models capable of executing multi-step functional optimizations without continuous human intervention.
• "Client Telemetry" means the raw data, GPS coordinates, financial ledger entries, or inventory logs pushed by the Client to our endpoints for processing.
• "Cortex v2.0" refers to our flagship deterministic anomaly detection engine.

3. Enterprise Licensing & Access

Subject to these Terms and the payment of all applicable fees, GJEF Specials grants your organization a limited, non-exclusive, non-transferable license to access our standard and specialized Neural Terminals.

3.1 Acceptable Use Restrictions

Clients are strictly prohibited from:

• Reverse-engineering the neural weights, functional parameters, or logic gates of the Cortex v2.0 engine.
• Using the Services to process data for which you do not possess standard legal clearance (e.g., unauthorized scraping of third-party datasets).
• Attempting to bypass the built-in rate limits of the standard API without a specialized volume agreement.

4. Client Data & Telemetry (SOC 2 Compliant)

We recognize that enterprise telemetry constitutes highly sensitive operational intelligence. GJEF Specials maintains SOC 2 Type II compliance to ensure the functional security of your data.

4.1 Data Processing and Ephemeral Storage

Unless explicitly configured in your specialized Service Level Agreement (SLA), Client Telemetry is processed ephemerally. Our Agentic AI identifies anomalies in transit, executes the functional directive, and purges the raw un-anonymized data within 72 hours.

5. Agentic AI Outputs & Liability Exclusions

GJEF Specials engineers our AI for highly deterministic outputs; however, artificial intelligence involves probabilistic data processing. The following limitations apply to our specialized agentic workflows:

• Advisory Nature: Outputs generated by the Logistics Neural Link, Retail Revenue Guard, or Finance Security Core are advisory. The Client assumes final responsibility for real-world automated actions (e.g., fleet route rerouting, frozen financial assets) triggered via our webhook integrations.
• Liability Cap: To the maximum extent permitted by applicable law, GJEF Specials shall not be liable for indirect, incidental, or consequential damages resulting from false-positive anomaly detections. Total liability shall not exceed the amount paid for the Services in the 12 months preceding the claim.

6. Intellectual Property (IP) Rights

GJEF Specials IP: We retain all rights, title, and interest in and to the Services, including all algorithms, standard frameworks, UI/UX designs (including the Neural Processing Terminal interface), and aggregated, de-identified machine learning insights derived from generalized system use.

Feedback: Any functional feedback, suggestions, or specialized feature requests provided by the Client may be incorporated into future updates of Cortex v2.0 without compensation or specialized attribution.

7. Service Termination

Either party may terminate the standard agreement with 30 days' written notice if the other party breaches a material term. Upon termination, all API access will be functionally revoked, and GJEF Specials will securely destroy any remaining Client Telemetry residing in our active processing nodes.

8. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions. Any legal actions related to the specialized use of our Agentic AI systems shall be brought exclusively in the federal or state courts located in Delaware.

For clients operating within the European Union, standard data processing addendums aligning with the EU AI Act and GDPR supersede conflicting regional clauses herein.
